Business Entity Formations and Maintenance

We advise clients on business entity and jurisdiction choice, name selection, securities compliance and other key issues concerning incorporation including preparation of incorporation documents, such as certificates/articles of incorporation, bylaws, restricted stock purchase agreements, stockholder/partnership agreements, and LLC operating agreements.  We also provide ongoing legal support for corporations and LLCs.

Business Transactions

We assist our clients with preparing, negotiating and reviewing various business agreements, including vendor and services agreements, supply agreements, licensing agreements, purchase agreements, consulting agreements, credit facilities, nondisclosure agreements, and letters of intent/term sheets.

Debt and Equity Financings

We assist our clients with the handling of all rounds of debt and equity financings, including angel rounds, seed rounds, series A and all subsequent rounds.  As part of such financings, we prepare and negotiate SAFEs, convertible note documents, preferred stock purchase agreements including standard venture capital ancillary agreements, as well as review due diligence materials and prepare the company for investor scrutiny.

Mergers and Acquisitions

For clients considering a merger or acquisition (sell-side or buy-side), we prepare and negotiate stock and/or asset purchase agreements, merger agreements, letters of intent and other documents related to mergers and acquisitions, as well as review due diligence materials and prepare and assist with the clean-up of company documentation and policies in anticipation of being acquired.

Technology Transactions/Intellectual Property

Our attorneys combine their expertise in commercial law with their knowledge of IP licensing to prepare and negotiate development, manufacturing and license agreements for software, hardware and general technology.  We prepare agreements relating to joint ventures and strategic alliances, patent licenses, distribution, supply, OEM agreements and software development and distribution.

Real Estate

Our attorneys have experience with all aspects of commercial real estate (office, industrial and multi-use), particularly focusing on leasing and operation.  We also prepare and negotiate architect agreements and construction agreements.
